REAL PILATES® TEACHER TRAINING AGREEMENT

1. PROGRAM OVERVIEW This agreement pertains to enrollment in the Real Pilates® Teacher Training Program (“the Program”), an immersive professional certification course with a minimum required completion of 600 hours. The Program consists of four modules: Beginner, Intermediate I, Intermediate II, and Advanced. Students may participate at a Real Pilates® studio or a Host Studio approved by Real Pilates®.

2. TUITION, PAYMENT, AND REFUND TERMS

All tuition, deposit, credit, and session policies are outlined in the RPTT Refund Policy, which is incorporated into this agreement by reference. Key provisions include:

A $1,500 non-refundable deposit (unless the program is canceled without reschedule)

Tuition may be paid in full or by module

Refunds are available only for unused future modules if the student cancels early

Medical emergency credits require documentation and are valid for 1 year

Session packages are non-refundable; unused sessions credited at the single-session rate for student use only (valid for 6 months)

A 12-hour cancellation policy applies for all scheduled sessions

Late program completion (see Section 8) may result in additional monthly fees

3. INTELLECTUAL PROPERTY & CONFIDENTIALITY

Students may not:

Reproduce, distribute, modify, or create derivative works of any course materials

Share, sublicense, or transfer manuals, study guides, or supporting materials

Remove or alter copyright notices or proprietary markings

Record or photograph any portion of the Program without written consent

Solicit clients, customers, or staff away from Real Pilates®

This section survives termination of training.

4. PROGRAM CONDUCT

Trainees are expected to maintain professional behavior throughout the program. This includes:

Punctuality, preparation, and focus

Respect for clients, staff, and studio guidelines

Avoiding discussion of personal matters on the training floor

Compliance with studio rules regarding space, privacy, and use of facilities

Unprofessional conduct is grounds for termination.

5. PHOTO / VIDEO RELEASE

Students understand and agree that Real Pilates® may record, photograph, or capture images during the Program. Such media becomes the property of Real Pilates® and may be used for educational, marketing, or promotional purposes without further notice. Student photography, video, or recording is strictly prohibited.

6. NON-COMPETE & NON-SOLICITATION

6.1 GEOGRAPHIC RESTRICTION

During training and for 12 months following completion, students may not open or work at a Pilates studio within:

1 mile of the Apprenticeship studio in metropolitan areas

5 miles in suburban areas

10 miles in rural areas

Host Studios may impose additional restrictions.

6.2 NYC-SPECIFIC RESTRICTION

Within New York City, graduates may not open or work in a Pilates studio within 15 city blocks of any Real Pilates® studio for 18 months following completion.

6.3 CLIENT SOLICITATION

Students may not solicit, accept, or refer any Real Pilates® clients to outside parties during training and for 12 months after program completion.

6.4 TEACHER TRAINING COMPETITION

Graduates may not create, develop, or teach in any Pilates teacher training program for 15 months after completion of this Program. Use of any Real Pilates® training materials in future programs is strictly prohibited and prohibited in perpetuity.

7. CLIENT RELATIONS

Students acknowledge that Real Pilates® clients and patrons are proprietary assets. Trainees may not solicit, contact, or leverage relationships with clients for personal or commercial gain. Any client attempts to solicit the trainee should be reported to Real Pilates® management. This obligation continues beyond the training period.

8. PROGRAM HOURS & COMPLETION

Trainees must complete all required hours within 30 weeks.

If completion extends beyond 8 months, the trainee must attend two (2) weekly private or semi-private sessions at the current trainee rate

If completion extends beyond 10 months, an additional studio access fee of $150/month applies

Program must be completed within 12 months. After 12 months, the student may be required to retake seminars or complete additional hours at added cost

9. WEEKLY PARTICIPATION REQUIREMENTS

Students must fulfill weekly hours by:

Attending seminars

Observing classes

Teaching (once approved)

Completing assignments and group workouts

Failure to meet these requirements may result in termination.

10. PAYMENT RESTRICTIONS DURING TRAINING

Trainees may not accept payment for instruction or teaching Pilates unless explicitly approved by Real Pilates® or Host Studio management.

11. CERTIFICATION REQUIREMENTS

To receive a certificate of completion, students must:

Pay all tuition, session, and travel expenses

Attend all seminars

Complete all required hours

Submit all assignments

Pass written and practical exams

12. REQUIRED WORKOUTS

Trainees are required to complete:

One (1) Private session per week

One (1) Semi-Private session per week

Participation in group workouts and unlimited group classes (subject to availability)

Additional sessions at the trainee rate are encouraged for deeper practice.

13. PROGRAM CANCELLATION

Real Pilates® reserves the right to cancel or reschedule any portion of the Program at its discretion.

14. STUDENT TERMINATION

Students may be terminated for:

Late payment or non-payment

Poor attendance or performance

Inappropriate or unprofessional behavior

Violating program rules

If terminated, no tuition is refunded and all balances remain due. All materials must be returned to Real Pilates®.

15. CPR CERTIFICATION & LIABILITY INSURANCE

All trainees must obtain CPR certification and professional liability insurance during Stage I. Proof of both is required to continue in the program and to begin Practice Teaching.

16. TRADEMARK USE

Real Pilates® trademarks include but are not limited to:

Alycea Ungaro’s Real Pilates®

Real Pilates®

SpringTone®

Portable Pilates®

All trademarks remain the sole property of Real Pilates®. No use is permitted without prior written consent. This includes use in business names, services, or promotional materials.

17. USE OF COMPANY NAME OR AFFILIATION

Students may not list Real Pilates® or claim association with the Real Pilates® brand in any professional biography, social media profile, website, directory, or publication without written permission from Real Pilates® management.

18. WAIVER & RELEASE

Full Version (default):

By participating in the Program, the student assumes all risks associated with physical activity and waives liability against Real Pilates®, Host Studios, instructors, and any related parties. Students agree to hold harmless all parties involved for injury, illness, property loss, or other damages. This release includes risks from negligence unless otherwise prohibited by law. If any part of this release is deemed unenforceable, the remainder shall remain in full effect.

Optional Condensed Version (available on request):

By enrolling, student voluntarily assumes all risks and releases Real Pilates® and affiliates from liability for injury, illness, or loss incurred during or as a result of Program participation.

19. COMPLIANCE & NON-DISPARAGEMENT

Students must comply with all program policies. Certification is not guaranteed. Students agree not to make disparaging remarks about Real Pilates®, its personnel, products, or programs during or after participation.

20. GENERAL PROVISIONS

a. Amendments in Writing: Changes must be in writing and signed by both parties.

b. Assignment: This agreement may not be assigned without Real Pilates® consent.

c. Attorneys’ Fees: Prevailing party may recover legal fees in any dispute.

d. Enforceability: If any provision is invalid, the remainder remains in effect.

e. Entire Agreement: This is the entire agreement. No verbal promises are binding.

f. Force Majeure: Neither party is liable for events beyond their control (e.g., acts of God, epidemics).

g. Governing Law: This agreement is governed by New York State law.

h. Headings: Headings are for reference only and not legally binding.

i. Injunctive Relief: Breaches of this agreement may be subject to injunctive relief.

j. Notices: All notices must be in writing and sent to the address provided.

k. Relationship of Parties: The relationship is that of independent contractor.

l. Severability: Invalid provisions do not affect enforceable provisions.

m. Survival: Provisions related to payment, IP, confidentiality, and trademark survive termination.

n. Waiver: No provision is waived unless stated in writing.

21. SIGNATURE & AGREEMENT

By checking the box and submitting this agreement, you confirm that you have read, understood, and agree to all terms stated in this Teacher Training Agreement, including the Refund Policy, Waiver, and all Non-Compete and Confidentiality Clauses.

RPTT Tuition & Session Package – Refund Policy

Program Cancellation by Real Pilates®

If Real Pilates® Teacher Training cancels a program without providing a reschedule date, all fees—including the deposit—will be refunded in full.

Non-Refundable Deposit

A $1,500 deposit is required to secure a place in the program and is non-refundable. If the program is canceled but rescheduled, the deposit will roll over to the new program date.

Tuition Payment Structure

Tuition is divided by module. Each module costs $1,062.50 and includes:

  • Seminar

  • Manual

  • Canvas access

  • Practical exam

  • Module-specific materials

Payment Options

Students may pay in full or by individual module. If a student cancels before completing all modules, tuition for any unused future modules will be refunded.

Medical Emergency (Before Start Date)

If a documented medical emergency occurs before the program start date, a credit (less the deposit) will be issued for use in future programming. Credit is valid for one year, for the student only, and may be transferred once to a different Real Pilates® location or cohort.

Medical Emergency (During Program)

If a documented medical emergency occurs after the program has started, the student will receive credit toward an upcoming scheduled program. Additional fees may apply. Payment plans will continue unless paused by arrangement.

Student Cancellation Policy

Students may cancel for a full refund (including tuition and session package) up to 30 days prior to the program start date by submitting a written Notice of Cancellation.

No Refund After Start

No refunds will be issued for tuition once the program begins or if the student:

Cancels after the start date

Fails to complete program requirements

Is terminated from the program (see item 10)

Session Package Policy

Training session packages are sold separately from tuition.

No refunds are issued once the program begins.

If the student cancels or is terminated, unused sessions will be credited at the single-session rate.

Credit is valid for 6 months and may be used by the student for non-program sessions only.

Credits are non-transferable.

Make-Up and Cancellation for Individual Sessions

Private, and Semi-Private package and sessions require 12-hour cancellation notice.

Late cancellations must be made up and will be billed at the single session rate.

Make-up sessions within the program are charged at the package rate.

Grounds for Termination

A student may be terminated from the program for:

Failure to meet attendance requirements

Disruptive or inappropriate behavior

Non-compliance with program policies

Failure to meet financial obligations

In such cases, tuition is forfeited and no refunds are granted. Session credit (see item 9) may still apply.

Credit Terms

Tuition credits: valid for 1 year from the date of issuance

Session credits: valid for 6 months from date of issuance

All credits are non-transferable and may only be used by the original student.
